Is there a kit of this ? i have heard that Italeri make one, but can’t seem to find it … the closest thing is a WW2 155mm M1-A2 Howziter … could this be the kit i am thinking of ?
Do any other Manufacturers make a kit of this ?

No there is no 1/35 kit of M119A1 105mm howitzer on the market. The above two are M101A1 105mm howitzer from WWII. The only kit I have sen of the M119A1 is in 1/72 scale by Matchbox.
I’m not familiar with a Matchbox 1/72 scale M119 105mm howitzer. I will admit I do not have the entire Matchbox line, but I do have an extensive braille scale (1/72-1/76) collection. I do know that JB Models does a 1/76 scale M119/L118 kit that builds into a US or British howitzer. I have grand plans of hanging one under a Black Hawk (even though it is 1/72).
I think the closest modern light howitzer in 1/35 is the AFV Club M102 105mm. I have one and it is a very nice kit. Revell of Germany reboxes the Italeri M101 105mm howitzer with Bundeswehr fittings (taillights, muzzle brake) and in the NATO 3-color camouflage.
I’ve got the old Peerless/Max 155mm M1-A2 howitzer (#M3-600). Italeri took over these molds and replaced the metal and vinyl parts with plastic. It is Italeri kit #232 M1A2 155mm Gun. This is not even close to the M119 105mm.
The AFV Club kit and JB Models kit are easy to find. I wish you luck in your search.

thats what i am going to be doing for the towed gun build, suspend one underneath a black hawk, but the lack of the kit is making this even more difficult …
i was originally going to do a M198 under a Chinook, but was too hard to get the kits
